AnyScience Terms for Organizations
Effective date: [date of publication]
1. Who these terms are between, and how you accept them
These terms are a contract between [AnyScience Inc., a Delaware corporation — inserted at incorporation] ("AnyScience", "we", "us") and the organization or person that accepts them ("you"). They govern every AnyScience product made for organizations — the company page, AnyScience Signal, AnyScience Showcase, and any product we add — as set out in section 2.
You accept these terms when you create a company page, set up AnyScience Signal, AnyScience Showcase or any other premium product or service, and confirm your agreement. If you accept for a company, university or other organization, you confirm that you work there and are authorized to act on its behalf, and "you" means that organization. If you accept as an individual using a product professionally, "you" means you personally.
These terms apply in addition to the AnyScience User Agreement, which continues to govern each individual's own account. Where they conflict, these terms prevail for your use of the products they cover.
2. Products and schedules
These terms have two parts: the general terms in sections 1 to 13, which apply to every product for organizations, and a schedule for each product, which applies only while you use that product. The schedules are:
- Schedule 1 — Company page
- Schedule 2 — AnyScience Signal
- Schedule 3 — AnyScience Showcase
We may add a schedule when we add a product. A schedule applies to you from the moment you start using its product, whether or not you accept these terms again.
If you buy a product, the order form or subscription confirmation records what you bought, for how long and at what price ("your order"). If the documents conflict, they apply in this order: your order, then the schedule for the product concerned, then the general terms, then the User Agreement. A schedule may change how a general term works for its product, but only where it says so.
3. Changes to the products
The features of each product are those available in your plan at the time. We may add, change or withdraw features, and may discontinue a product or any part of it. If we discontinue a product you have paid for, we will give you reasonable notice and refund any fees you have paid for the period after discontinuation.
4. Trials
Where a product offers a trial, you can try it free for the period stated in its schedule, with full access. When you're ready, choose a plan and keep going with everything you've built. What happens to what you built if you don't subscribe is stated in the product's schedule. We may change or withdraw trial terms for new users at any time.
5. Fees and billing
Free products carry no fee. For a product you buy, you pay the fees in your order, for the plan and quantities you chose, in advance for each billing period stated in your order. Fees are exclusive of taxes, which we add where they apply. Fees are non-refundable except where these terms or the law provide otherwise.
We may change fees for a later billing period by giving you at least 30 days' notice; if you do not accept the change, you may cancel before it takes effect. Anything you add during a billing period is charged as your order or the product's schedule states.
If a payment fails or is overdue, we will tell you, and we may suspend the paid product until it is paid. A missed payment never affects your company page.
6. Administrators and users
The person who accepts these terms for an organization becomes its administrator. An administrator acts for the organization in managing the products it uses — its company page, its AnyScience Signal subscription, its AnyScience Showcase products and services, or any other — including adding and removing other administrators and users. If you accept as an individual, you are the account holder and these terms apply to you directly.
Each person who uses a product on your behalf needs their own AnyScience account under the User Agreement. Users join under your organization's subscription or page, as the product's schedule describes. You are responsible for your administrators and users, for keeping their access secure, and for everything done in your name. Tell us promptly if you learn of any unauthorized use.
7. Term, renewal, cancellation and suspension
These terms apply from the moment you accept them and for as long as you have a company page or a subscription with us.
A paid product runs for the period in your order and renews automatically for the same period unless you cancel before it ends. You can cancel at any time from your account settings or by writing to contact@anyscience.com; cancellation takes effect at the end of the current period, and you keep full access until then. A free product continues until you close it or we withdraw it.
We may suspend or end your use of any product immediately if you breach these terms, the User Agreement or the Content Policy, and may otherwise end a product by giving you 30 days' notice. What happens to your content and data when a product ends is stated in its schedule. Sections 9 to 13 continue to apply after these terms end.
8. Lawful use
You will use the products only for lawful professional, commercial or institutional purposes. You will not use them to harass, stalk or discriminate; access them by automated means except where a product provides for it; resell or provide access to them to anyone outside your organization; or use them in a way that breaches the law or the rights of others, including data-protection and anti-spam laws in the places you operate. Each product's schedule may add restrictions for that product. We may verify compliance and may suspend access while we do.
9. Your content
Content you publish through the products — your company page, posts made in your organization's name, your product and service pages, your logo, images, text and links — remains yours. You give us permission to host, display, index and distribute it through AnyScience, including in search results, feeds and previews, for as long as it is published, and to keep copies in backups for a limited period after you remove it. Anything an administrator or user publishes in your organization's name through the products is your content for the purposes of these terms.
Content you keep unpublished — a draft page, or a product or service you have not published or have hidden — is stored for you and is not shown to others or included in search. Information you and your users enter in AnyScience Signal is never published: it is confidential to you and is covered by Schedule 2, not by this section.
You confirm that you have the rights needed to publish your content, including in any logo, trademark or image it contains, and that it is accurate and not misleading. We do not review content before it is published except where a schedule says so, and we may remove or hide content that breaches these terms, the Content Policy or the law. Each product's schedule may add rules for that product's content.
10. Confidentiality
You and AnyScience will each keep the other's confidential information confidential, use it only for the purposes of these terms, and disclose it only to people who need it for those purposes and are bound to keep it confidential, or where the law requires. Confidential information includes the terms of your order, and anything either of us marks or would reasonably treat as confidential. It does not include information that is public, that the receiving party already had, or that it obtained independently.
11. Availability and support
We aim to keep the products available and to help promptly when you need us. Occasionally a product may be unavailable, including for maintenance.
12. Warranties, liability and indemnity
The products are provided "as is". We do not warrant that the information they provide is complete, accurate or current, or that they will be uninterrupted or meet your needs.
To the maximum extent permitted by law, we are not liable to you for indirect or consequential loss, or for loss of profit, business, data or goodwill, and our total liability under these terms is limited to the fees you paid us in the one month before the event giving rise to the claim, or $25 if you paid no fees in that period. This limit does not apply to our own fraud or willful misconduct, or to any liability the law does not allow us to limit.
You will indemnify us against claims arising from your content, or from use of the products by you, your administrators or your users in breach of these terms or the law. Nothing in these terms limits your liability for your own fraud or breach.
13. General
These terms are governed by the laws of the State of Delaware, and its courts have jurisdiction over any dispute, without prejudice to any mandatory law where you are located. We may update these terms and their schedules; updates take effect on the date stated, and we may ask you to accept updated terms to continue using a product. You may not transfer these terms without our consent; we may transfer them to a successor to our business. Notices to us go to legal@anyscience.com; notices to you go to your administrator's account email. These terms, including their schedules, together with your order, the User Agreement and the policies it incorporates, are the entire agreement for your use of the products.
Schedule 1 — Company page
1.1 What it is. A company page is an organization's presence on AnyScience. The page itself is free. Some features on it, such as publishing products and services, are available only through a paid product under its schedule. The page belongs to the organization, not to the person who created it.
1.2 Creating a page. A page is created by a person who works at the organization and is authorized to act for it, as confirmed under section 1. We review a new page before it goes live and may decline it, or ask for changes, where we cannot confirm the organization or the page does not meet the Content Policy. One organization has one page; where more than one is created for the same organization, we may merge or remove the duplicates.
1.3 Managing the page. The page is managed by the organization's administrators under section 6. If the person who created the page leaves the organization, the page stays with the organization, and another authorized person may take over as administrator.
1.4 Content and removal. Page content is your content under section 9. We may hide or remove a page, or content on it, that breaches these terms, the Content Policy or the law, or where we can no longer confirm the organization. A page is never hidden or removed for non-payment of any other product.
1.5 Closing a page. An administrator may close the page from its settings. Closing removes it from AnyScience; copies may persist in backups for a limited period.
Schedule 2 — AnyScience Signal
2.1 What it is. AnyScience Signal is a professional tool that helps organizations and individuals who work with the science community find, understand and engage with researchers and laboratories.
2.2 Trial. The trial period under section 4 is 30 days. What happens to your data if you do not subscribe is stated in Part A below.
2.3 Seats, organization accounts and teams. Each user seat is personal to one named person. Sharing a login with anyone else, or letting someone use a seat that is not theirs, is a breach of these terms. We may use technical and other means to detect shared use, and if it happens we may suspend the account, end the subscription without refund for the remaining period, and make restored access conditional on subscribing the right number of seats.
If you work as part of a team, AnyScience Signal does much more for you as an organization. Create an organization account and invite your colleagues, and your whole team can discover, engage, manage, market and sell into the academic and scientific space together, faster. Each colleague joins on their own seat, under your organization's subscription. You can add seats at any time; added seats are charged for the rest of the current period at the rate in your order.
2.4 Use restrictions. In addition to section 8, you will not export, resell, publish or share the information AnyScience Signal provides outside your organization, or use it to build or enrich another database.
2.5 Information and responsibility. Information that you and your users enter in AnyScience Signal is yours: you are its controller, and we process it on your behalf and on your instructions under Part A. You confirm that you have a lawful basis for what your users record and that you handle it in accordance with the laws that apply to you. Professional information about researchers that we make available to you is provided under our Privacy Policy, which describes how researchers may object to or remove it.
2.6 Researcher removal requests. If a researcher asks us to remove their information from AnyScience, we will stop retrieving it from external sources and will not make it available for saving again. Records you have saved and information you have entered are yours and remain in your lists as they are.
2.7 Your data. Professional information about researchers that we retrieve from external sources is provided as part of the service and does not form part of your data. What happens to your data when your subscription ends is set out in Part A. The security measures we apply to your data, and what we do if a security incident affects it, are also set out in Part A.
Part A — Data processing terms
Applies to information you and your users enter in AnyScience Signal ("your data"), for which you are the controller and we are the processor.
- Scope. We process your data only to provide AnyScience Signal to you, for the duration of your subscription, and only on your instructions. Your instructions are these terms and the settings you and your users choose in the product. If we think an instruction breaks the law, we will tell you.
- People and information. Your data may concern researchers, laboratory staff and other people your users choose to record, and may include professional contact and business information, notes, ratings and records of activity.
- Our obligations. We will: keep your data confidential and make sure anyone we allow to access it is bound to do the same; apply technical and organizational security measures that are appropriate, taking into account the nature of the data, the risks involved and the cost of implementation; tell you without undue delay if we become aware of a breach affecting your data; help you, on request and at your cost where the request is substantial, to respond to requests from the people your data concerns and to meet your own security and impact-assessment obligations; and give you the information reasonably needed to show that we meet these terms, including by allowing an audit once a year on reasonable notice, at your cost.
- Sub-processors. We use the following providers to process your data on our behalf: [hosting and infrastructure provider; email service provider — names inserted after counsel review]. We will tell you before adding or replacing a provider; if you object on reasonable grounds and we cannot resolve it, you may end your subscription.
- Transfers. Your data may be processed outside your country. Where the law requires safeguards for such transfers, we rely on those described in our Privacy Policy.
- End of subscription. When your subscription ends we will delete your data, or return it to you if you ask within [30] days, except where the law requires us to keep it or copies persist in backups for a limited period.
- Your obligations. You are responsible for the lawfulness of your data and of your instructions, for having a lawful basis for what your users record, and for responding to requests from the people your data concerns.
Schedule 3 — AnyScience Showcase
3.1 What it is. AnyScience Showcase lets an organization present its products and services on its company page and in AnyScience search, each with its own page. Publishing products and services requires AnyScience Showcase; the company page itself does not.
3.2 Trial and subscription. The trial period under section 4 is 30 days. The trial and any subscription are held by the organization: any of its administrators may start the trial, and every administrator may then add and edit products and services. When a trial or subscription ends without renewal, your products and services stay in your account and remain editable, but are no longer shown on your page or in search; they are shown again when you subscribe. An item may be published or kept hidden at any time; hidden items are not shown and are not included in search.
3.3 Fees. [Inserted in the pricing session.]
3.4 Products and services. Each product or service you publish is your content under section 9. You confirm that it is a real product or service you offer, that its claims are accurate and can be substantiated, and that where a product is regulated — as a medical device, a pharmaceutical, a chemical or otherwise — its page complies with the rules that apply to its promotion in the places it is shown. We may hide an item that does not meet this clause, or that we reasonably believe is misleading, until it is corrected.
